In Hong Kong, either an individual or a body corporate can be a company secretary:

The sole director of a private company cannot also be the company secretary (i.e. one of the company’s directors can be the company secretary only if there is more than one director in place);

If the company secretary is a natural person, he or she must be a resident in Hong Kong;

If the company secretary is a corporate body, its registered address or principal office should be in Hong Kong. If a company hire a corporate service provider, make sure it must hold a valid Trust or Company Service Provider Licence (a.k.a. TCSP licence) issued by the Companies Registry.

  1. Certificate of Incorporation
  2. Business Registration Certificate
  3. Latest Annual Return
  4. Register of Directors
  5. Register of Members
  6. Register of Secretaries
  7. Significant Controllers Register
  8. Location of the items (4) – (7)
  9. Articles of Association
  10. HKID card / passport copy of each director, shareholder and beneficial owner
  11. Residential address proof (utility bills or bank statements issued in the recent 3 months) of each director, shareholder and beneficial owner
